Terms of Use

These Terms of Use ("Terms") form a binding legal agreement between you and TempoDocs ("we", "us", "our") governing your access to and use of our website, applications, APIs, and related services (collectively, the "Service"). By creating an account, clicking "I accept", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) and legally capable of entering into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that you are not barred from using the Service under any applicable law.

You are responsible for (a) providing accurate registration information, (b) safeguarding your credentials, and (c) all activity that occurs under your account. Notify us immediately at support@tempo-docs.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security, legal, or fraud risk.

You agree not to, and not to attempt to:• Use the Service to generate, store, or distribute content that is unlawful, infringing, defamatory, harassing, hateful, sexually exploitative, deceptive, or that violates the rights of any third party;
• Reverse-engineer, decompile, scrape, or interfere with the Service or its underlying models, except as expressly permitted by law;
• Use the Service to build a competing product, train a competing model, or resell access without our written permission;
• Bypass rate limits, access controls, or security measures, or use the Service in any way that could disrupt or overload it;
• Misrepresent your identity or affiliation, or use the Service to send spam, malware, or other harmful code.

The Service uses artificial intelligence to draft documents based on prompts you provide. You acknowledge that AI output may contain inaccuracies, omissions, or biased content, and that you are solely responsible for reviewing, verifying, and editing output before relying on it. The Service is not a substitute for professional legal, financial, medical, or other expert advice.

You retain ownership of the prompts, text, images, and other materials you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to operate, maintain, secure, and improve the Service for you. You represent that you have all necessary rights to grant this license and that Your Content does not violate any law or third-party right.

The Service, including its software, templates, design, trademarks, and branding, is owned by TempoDocs or its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your personal or internal business purposes. All rights not expressly granted are reserved.

Paid plans are billed in advance through our payment processor on a recurring basis until cancelled. Prices are listed in USD unless stated otherwise and exclude applicable taxes, which you are responsible for. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period. Refund eligibility is described in our Refund Policy.

We may offer a free tier with limited features, usage caps, or trial duration. We may modify, suspend, or discontinue the free tier at any time without liability.

The Service may integrate with or link to third-party products and websites that we do not control. We are not responsible for third-party content, terms, or practices, and your dealings with them are solely between you and the third party.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or possible legal exposure for us, or if we discontinue the Service. Upon termination, the provisions that by their nature should survive (including ownership, disclaimers, and limitations of liability) will survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED OUTPUT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEMPODOCS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (b) USD 100.

You agree to defend, indemnify, and hold harmless TempoDocs and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) Your Content, or (c) your violation of these Terms or any applicable law.

We may modify or discontinue features of the Service at any time. We may also update these Terms; material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of your country of residence to the extent required by applicable consumer-protection laws, and otherwise by the laws applicable to TempoDocs' principal place of business, without regard to conflict-of-laws principles. The parties will first try to resolve any dispute informally by contacting us at the address below.

These Terms, together with the documents they reference, constitute the entire agreement between you and TempoDocs regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
